By accessing or using Icebreaker Connect's networking platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Icebreaker Connect provides an online networking platform that allows users to connect, share professional information, and engage with other members of the community. The Service may include various features such as profile creation, messaging, content sharing, and networking tools.

3. User Accounts and Registration

Icebreaker Connect has a strict zero-tolerance policy for objectionable content and abusive behavior. We are committed to maintaining a safe, respectful, and professional networking environment for all users.

4A.2 Prohibited Content and Behavior

The following content and behaviors are strictly prohibited and will result in immediate action including warnings, account suspension, or permanent removal from the platform:

• Harassment and Bullying: Targeting individuals with threats, intimidation, or persistent unwelcome contact
• Hate Speech: Content that promotes violence or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Sexual Content: Sexually explicit content, nudity, or sexually suggestive material
• Violence: Content that depicts, promotes, or threatens violence against people or animals
• Illegal Activities: Content that promotes or facilitates illegal activities
• Spam and Fraud: Unsolicited commercial messages, phishing attempts, or fraudulent schemes
• Doxxing: Sharing private personal information of others without consent
• Impersonation: Creating fake profiles or impersonating other individuals
• Self-Harm: Content that promotes self-harm, suicide, or eating disorders

4A.3 Content Filtering and Moderation

We employ automated and human-assisted systems to detect and remove objectionable content. We also rely on the community to report inappropriate content.

4A.4 User Reporting and Safety Tools

We provide comprehensive tools for users to maintain their safety and report violations:

• Report Function: Users can report inappropriate content, profiles, or messages directly within the app
• Block Function: Users can block other users to prevent all interaction and remove them from their experience

5. Intellectual Property Rights

5.1 Service Content

The Service and its original content, features, and functionality are owned by Icebreaker Connect and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademark Policy

You may not use our trademarks, service marks, or logos without our prior written consent.

7. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ICEBREAKER CONNECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ICEBREAKER CONNECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Icebreaker Connect and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

10. Termination

10.1 Termination by You

You may terminate your account at any time by following the account deletion process in your account settings.

10.2 Termination by Us

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice, including for violation of these Terms.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution and Arbitration

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in New York, New York.

11.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND ICEBREAKER CONNECT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in New York County, New York, and you consent to the jurisdiction of such courts.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Icebreaker Connect regarding the Service and supersede all prior agreements and understandings.

16. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
